As a marketplace comprised of many third-party sellers, EverythingEQ strives to maintain an inclusive, reputable, and safe online community. We hold ourselves to high standards, and expect nothing less from our sellers.

This policy is a part of our Terms of Use. By opening an EverythingEQ shop and becoming a seller, you are agreeing to this policy and our Terms of Use.

4. PROHIBITED ITEMS POLICY

To remain consistent with our values and to ensure the safety of our community, EverythingEQ prohibits the sale of certain types of items. We have a zero-tolerance policy for items on this list. As part of our Terms of Use, sellers agree to our Prohibited Items Policy when opening up an EverythingEQ shop. If we believe you have violated this policy, the items in your shop will be temporarily removed and your shop may be temporarily disabled, dependent on whether the violation pertains to certain products or your entire shop, the nature of the violation, and whether this is a first or repeat offense. In the event that this happens, EverythingEQ will immediately notify you via email or phone. If we do not receive a reply from you, either by email or phone, within 3 days, you will be subject to immediate account suspension or termination. All fees paid or payable in relation to listings or accounts on which we take any action will not be refunded or otherwise credited to your account.

PROHIBITED ITEMS:

    2. Unauthorized use of copyrighted images
    3. Unauthorized use of copyrighted logos and trademarks

    1. Created using threatened or endangered species as defined by the US Endangered Species Act or listed in CITES Appendix I 
    2. Found in the policy from the Coaltion to End Wildlife Trafficking Online
    3. Made from marine mammals
    4. Made from cats or dogs
    5. Animal fur
    6. Ivory or bones from ivory producing animals
    7. Live animals
  4. Dangerous Items
    1. Explosives and explosive precursors
    2. Gases
    3. Radioactive material
    4. Poisonous substances
    5. Individual or loose lithium batteries
    6. Recalled items that may pose health and safety hazards.
    7. Weapons made to inflict harm such as firearms, ammunition for firearms, parts and accessories for firearms.
    8. Syringes and needles.
  5. Hate Items
    1. Products that promote, support, commemorate, or are related to hate groups such as the Ku Klux Klan (KKK), Nazis, Neo-Nazis, white supremacy, misogyny; that are anti-immigrant, anti-gay or transphobic; deny the holocaust; or promote cruelty to animals.
    2. Hate speech within a shop’s description, product descriptions, shop policies, or on products.
    3. Bullying of any kind.
  6. Violent Items
    1. Encouraging violence against individuals or groups.
    2. Encouraging self-harm.
    3. Exploiting tragedies.
    4. Glorifying human and/or animal suffering.
    5. Glorifying serial killers.
    6. Promoting abuse of any kind towards humans or animals.
  7. Nudity, Pornography, and Illegal Content
    1. Showing any part of male or female genitalia on products, product images, or anywhere on a shop’s page.
    2. Bestiality, necrophilia, or other illegal or obscene content, whether real or fictionalized.
    3. Pornography of any sort is prohibited and will lead to your account being immediately and permanently suspended on EverythingEQ.
5. PRODUCT IMAGES AND INFORMATION

As an EverythingEQ seller, we ask that you provide current product information, including electronic images and any information or warnings required by law to be disclosed in any sale or advertisement of the Product (“Product Information”). By doing so, you grant EverythingEQ a non-exclusive, worldwide, perpetual, irrevocable and royalty-free license to: (a) use, copy, display, perform, and distribute the Product Information on or in connection with any online or offline point of presence, mobile application, service or feature; (b) excerpt, reformat, adapt or otherwise create derivative works of the Product Information; (c) use all trademarks or trade names included in the Product Information; and (d) sublicense any of the foregoing rights to third parties in connection with our programs or services (for example, to advertise your Products). You will promptly provide all information regarding safety, compliance or industry standards related to your Products (“Product Safety Information”) that we reasonably request.

6. PRODUCT RETURNS; EFFECT OF REMEDIES; RECALLS AND SAFETY

Except to the extent of your Return/Refund/Exchange policy, you will accept and reimburse buyers and EverythingEQ  for any Product that:

    1. Is defective;
    2. Does not conform to agreed specifications;
    3. Is subject to recall or safety alert by a government authority or the Product’s manufacturer or distributor or that we otherwise reasonably determine poses a safety risk to buyers; for which you fail to promptly provide Product Safety Information upon our reasonable request; or
    4. Does not comply with this Agreement.

Title and risk of loss for all Products returned under this Agreement will pass to you upon delivery by us or the buyer to the shipping carrier. You will accept any such return and reimburse us and the buyer for the Product. Payment of an invoice does not limit our remedies. You will provide us with immediate written notice of any Product recall or safety alert. You are responsible for costs we incur in a recall or safety alert and for providing any required notices, information, and documents to applicable authorities or that are otherwise necessary for carrying out the recall or safety alert.

7. SELLER RESPONSIBILITIES

Sellers are responsible for paying EverythingEQ’s commission as well as all taxes imposed or measured by Seller’s net income, profits, and/or revenues associated with the sale of any items made through EverythingEQ.

8. MARKETPLACE FEES

Transaction Fees

To keep our marketplace operational, EverythingEQ keeps 9% of the total of each order. This allows us to cover the cost of marketing, technology, and security to deliver the best user experience possible.

Payment Processing Fees

We use third party payment processing partners to power our checkout experience. These partners charge a fee to process each transaction. The fee is based on the cart total, including taxes and shipping, and is transferred to the payment processor as soon as the order is placed; EverythingEQ does not keep payment processing fees. Processing Fees are as follows:

    • 2.59% + $0.49 for US issued credit cards and digital wallets (Apple Pay).
    • 3.5% + $0.49 for PayPal.
    • +1% on transactions presented in any non-USD currency.
    • +1% when a customer’s card is issued outside of the United States.
9. MARKETPLACE TAXES

EverythingEQ will collect taxes from Buyers on behalf of Sellers where we are legally obligated to do so, including in those states that have enacted legislation requiring Marketplace Facilitator Laws to collect Taxes on behalf of sellers once thresholds are reached. In these states, the amount of taxes collected will be submitted by EverythingEQ to the appropriate taxing authority on behalf of Sellers. In those states where EverythingEQ does not collect Taxes on behalf of Sellers, Sellers are responsible for collecting and submitting any Taxes to the appropriate taxing authority in accordance with relevant state or local laws.

10. FEE MODIFICATIONS

We reserve the right to change or discontinue, temporarily or permanently, some or all of the marketplace fees for selling on EverythingEQ (including to lower fees for promotional events), and such changes are effective once policies are updated on our website. Additionally, we may change our fees at any time and in our sole discretion, and any changes are effective upon posting. Sellers will be notified prior to posting.

11. HOW WE COLLECT FEES

EverythingEQ automatically deducts all fees owed from the total amount of your sales prior to releasing your earned funds into the payment account you have set up with us. No further action is required on your part unless you are notified by our team. In the case that you have an outstanding balance, you are responsible for paying fees in full within 30 days of notification or your account will be considered past due and suspended, and EverythingEQ will take further actions to collect owed fees. Sellers are responsible for checking monthly statements, available within the Seller Dashboard, and maintaining good standing as a member of our community. Your monthly statements detail all sales and fees activity from the preceding month.

12. VAT AND CUSTOMS

VAT is a tax based on the consumption of goods and services that is commonly found in the EU and select other regions of the world. VAT is also known as JCT, GST, SST, or QST in some countries.

When a package ships internationally, it may be subject to import taxes, customs duties, and/or fees imposed by the destination country. These charges are determined by the country you’re sending the item to, and are usually based on the item’s price, postage weight, dimensions, and country of origin. Generally, the buyer is responsible for paying VAT and or customs duties on receipt of the package. These charges are typically due once the package arrives in the destination country. If you sell to buyers outside of the US, we recommend including a notice of potential import charges within your product description, shop description, and or policies.

Please note that some countries require EverythingEQ to apply VAT on the fees that you may be charged in accordance with this policy. Fees listed in this policy are exclusive of VAT.

13. VAT ON DIGITAL PRODUCTS

Regardless of where your shop is located, if you sell digital products, buyers in Australia, Europe, Mexico, New Zealand, Quebec (Canada), Switzerland, and the United Kingdom will be charged VAT on digital products as part of their total purchase price.

14. WITHHOLDING TAXES NOTICE

As an important reminder, EverythingEQ’s fees do not include any withholding taxes that might apply in your home country. You are required to pay EverythingEQ the full amount of our fees and may not deduct any applicable withholding taxes from that amount.

15. SHIPPING POLICY

Sellers are responsible for packaging and shipping orders to buyers. If you’re using a shipping or fulfillment service, please keep in mind that you are ultimately responsible for making sure that your buyers receive their orders.

By selling on EverythingEQ, you agree to:

    1. Provide an accurate “ships from” address.
    2. Specify your shipping costs and processing times in your listings.
    3. Ship items promptly after they are sold. Prompt shipping means that you ship each item within its stated processing time, unless you specify otherwise or agree to a different shipping period with the buyer through Messages.
    4. Comply with all local and international shipping and customs regulations.
    5. Ship to the address listed on the EverythingEQ receipt.
    6. Mark the order as shipped when you physically drop it off at the carrier of your choice or it is picked up by the carrier. If you purchase a shipping label through EverythingEQ, the system will automatically mark your order as shipped, so please be sure the carrier has it that same day. When order status is changed to shipped, whether manually or automatically, the buyer will receive a notification and tracking information via email. Keep this in mind to deliver a great customer experience.

By entering tracking information or delivery confirmation on EverythingEQ, you’re giving us permission to collect and share this data received from your chosen shipping carrier with the buyer.

16. SHIPPING FEES AND INSURANCE

As a seller, you assume the cost of shipping and are responsible for purchasing shipping labels either from EverythingEQ via your Seller Dashboard or directly from the carrier, and must comply with the terms, conditions, and policies imposed by the carrier used to ship your items. EverythingEQ will not assume shipping costs for your products.

The cost of a shipping label will depend on the origin, destination, weight, mail class, package type, and dimensions of the package. If you add signature confirmation or insurance, fees will be added to the total cost of the label at the point of purchase. All fees for USPS, FedEx, and UPS will appear separately in your account and will specify the name of the service provider and the shipping label number. The fees for shipping labels and shipping insurance will appear in US Dollars (USD).

If an item is lost or damaged in transit, EverythingEQ is not responsible for compensating sellers when funds for an insurance claim are not rewarded. If the tracking number on the label shows that the package has been delivered to the provided address, EverythingEQ considers the package delivered, even if the Buyer subsequently claims otherwise.

The seller’s account will show the order total (minus taxes, fees, and commission) once an order has been completed. Funds credited to the seller’s account may be redeemed by the seller through a permitted third party payment provider.

17. SHIPPING DELIVERY ISSUES

In the event that an order does not arrive, be prepared to provide valid proof of shipping. Valid proof of shipping must show that the item actually was shipped and that it was sent to the address provided by the buyer on EverythingEQ. If a buyer does not receive their order, they may file a case against your shop.

18. PURCHASING SHIPPING LABELS ON EVERYTHINGEQ

Shipping labels can be purchased and printed directly via the Seller Dashboard. By purchasing shipping labels on EverythingEQ, you agree that:

    1. All shipping labels will only be used to ship corresponding EverythingEQ orders.
    2. Shipping labels will not be transferred or sold to a third party.
    3. You are fully responsible for the contents of any parcels you ship. In addition to EverythingEQ’s policies, you agree to comply with the terms and conditions and any other policies or rules imposed by the carrier you use to ship your items.
    4. Shipping services are provided by the applicable third party carrier, not EverythingEQ. You are responsible to review, accept and abide by the carrier’s terms and conditions, including their privacy policy, in connection with your use of their services. EverythingEQ is not liable or responsible for any issues you may have with a carrier’s services and you should contact the applicable carrier as needed. Addition, EverythingEQ is not responsible for any issues encountered while items you ship are in transit. That means that if an item is lost, damaged, or arrives later than expected, you will have no recourse against EverythingEQ, regardless of EverythingEQ’s involvement in resolving the issue. We recommend you review the applicable carrier’s terms and conditions for information on how they handle parcels that are lost, damaged, or delayed.
    5. EverythingEQ reserves the right to remove your access to and ability to purchase Shipping Labels directly on our platform at any time and for any reason.
    6. You acknowledge and consent to EverythingEQ sharing your information with your chosen shipping carrier in order to complete your requested transaction subject to our Privacy Policy.
19. IRS FORM W-9

EverythingEQ uses IRS Form W-9, Request for Taxpayer Identification Number (“TIN”) and Certification, to obtain tax identification information from individuals and sellers who receive reportable payments stemming from marketplace transactions during the calendar year. When required, we provide this information to the IRS and applicable state taxing authorities by filing a Form 1099-K information return.

By opening an EverythingEQ shop, you acknowledge and consent to the following terms:

    1. You have Internet access and a computer with hardware that supports our platform’s software.
      As well as an updated internet browser.
    2. You have provided us with a current email address where we can contact you, and where you will receive important communications regarding your shop. We will notify you within 3 to 5 business days if any changes are made to the method of electronic delivery.
    3. You agree to electronically receive the IRS Form 1099-K information tax return.
      You may obtain a paper copy of the electronic form 1099-K by printing it from your computer.
      If your account is suspended, terminated or cancelled, your consent is nullified and a copy of your IRS information tax return will be mailed to the address provided on your Form W-9.
    4. You will receive email and online communications and disclosures regarding your account instead of physical mail. Communications will not be provided in paper form unless you have contacted support and requested, in writing, not to receive electronic communications.
    5. You consent to provide EverythingEQ with your electronic signature if you choose to sign certain communications. Your electronic signature will bind you to the terms and conditions to the same extent as your ink signature.
    6. You will update your EverythingEQ shop for any changes to your email address. Information that is required by law, such as IRS information tax returns, can be resent to you. However, other communications will not be resent if we receive an electronic notice that the email is undeliverable due to an incorrect email address.
    7. When requesting IRS information tax returns in paper form, your request will not nullify this consent for future electronic deliveries of IRS information tax returns and other online communications provided by EverythingEQ unless consent is withdrawn.
      Please note that receiving physical copies of tax forms typically takes longer than electronic copies.
    8. Your consent to receive electronic IRS information tax returns is effective immediately until you choose to withdraw it. You may withdraw your consent electronically by contacting us via your Seller Dashboard or by email.
      Your withdrawal of consent will take effect 5 to 10 days after it has been received. It does not apply to communications that were provided electronically before the date the withdrawal took effect. We will confirm the withdrawal of consent and its effective date by notifying you electronically and will provide subsequent IRS information tax return via US Postal Service.
20. COMMUNICATION VIA MESSAGES

EverythingEQ’s Messages feature allows is a great way for buyers to ask you questions directly about an item or an order.

Messages may not be used for the following activities:

    1. Sending unsolicited advertising or promotions, requests for donations, or spam;
    2. Harassing or abusing customers or sellers of the EverythingEQ community;
    3. Contacting someone after they have explicitly asked you not to; or
    4. Interfering with a transaction or the business of another member.
    5. Exchanging personal contact, financial or other information for the purposes of evading the checkout process on EverythingEQ, including phone number, address, email, social media handles, external URLs, instructions for money transfer, etc.
21. HARASSMENT AND DISCRIMINATION

The use of EverythingEQ’s Messages feature to harass customers or other sellers is strictly prohibited. Messages may not be used to support or glorify hatred or otherwise. If you receive a Message that violates this policy, please contact us immediately.

22. INTERFERENCE

Interference occurs when a member intentionally interferes with another member’s shop in order to drive away their business. Interference is strictly prohibited on EverythingEQ. Examples of interference include:

    1. Contacting another member via Messages to warn them away from a particular member, seller, shop, or item;
    2. Posting in public areas to demonstrate or discuss a dispute with another member;
    3. Purchasing from a seller for the sole purpose of leaving a negative review.
23. ORDER CANCELLATIONS

In the case that you are unable to complete a transaction, you must notify the buyer via Messages and cancel the transaction via your Seller Dashboard. If payment has already been submitted by the buyer, you must submit a refund request to EverythingEQ via the order and provide an explanation as to why the order needs to be refunded. You are encouraged to keep proof of any refunds in the event a dispute arises. All cancellations are subject to our Cancellation Policy.

European Union Right of Withdrawal: Buyers in the European Union (EU) may be entitled to a 14-day “right of withdrawal” after receiving an item, during which they may return an item for any reason. The details of this right vary by EU member state. The right of withdrawal may not apply to certain items like custom items or perishable goods. Rights with respect to digital items vary by EU member state. Read more about the EU Right of Withdrawal here.

Please be advised that in addition to this policy, each country has its own laws surrounding shipping, cancellations, returns, and exchanges. To be safe, we ask that you familiarize yourself with the laws of your own country and those of your buyers’ countries.

24. ORDER DISPUTES

Sellers must attempt to resolve any outstanding order issues brought forth by buyers before contacting EverythingEQ. For this reason, it is important that you fill out your shop policies and regularly respond to Messages from your buyers. Once a buyer has notified you of a problem with an order, you will have 48 hours to resolve the issue. If the issue is unresolved, the buyer can escalate the issue to EverythingEQ’s support team, which will assist in the resolution between the buyer and seller. This may include, but is not limited to, automatically issuing a refund to the buyer, or reviewing the case further to help the buyer and seller resolve the issue quickly and efficiently.

EverythingEQ reserves the right to resolve an order issue before the 48-hour window for circumstances including, but not limited to, seller inactivity, harassment, refusal of service, and undermining the integrity of our system.

EverythingEQ reserves the right to issue a refund to the buyer and recover funds from your account payouts.

25. REVIEWS

Reviews are a great way for you to build a reputation on EverythingEQ. Buyers who have made a verified purchase can leave a review, along with a one to five star rating of their purchase following an estimated delivery date or the order’s processing time. Buyers can access and edit their review any number of times once it has been posted.

In the event that you receive an unfavorable review, you can reach out to the buyer or leave a response.

Your response to a review may not:

    1. Contain graphic, mature, or obscene language;
    2. Include things outside the seller’s control, such as a shipping carrier, EverythingEQ or a third party;
    3. Include shilling or otherwise falsely inflate a shop’s review score; or
    4. Undermine the integrity of the Reviews system.
26. ONBOARDING AND VERIFICATION

EverythingEQ’S onboarding process requires sellers to enter details about themselves and their business, such as address, email, phone number, bank details, etc. Please be prepared to provide us with these details when opening your shop.

Our verification process requires sellers to provide proof of identification in the form of photo ID, Social Security Number or EIN, as well as other business documents.

EveryhingEQ may make changes to the onboarding or seller verification processes at our sole discretion. Completion of these processes is required for seller account activation or continued access and usage.

27. INTELLECTUAL PROPERTY INFRINGEMENT

Our Intellectual Property Policy explains how we address allegations of infringement, how authorized parties can submit reports of infringement regarding content on our marketplace, and how EverythingEQ sellers can respond when their listings or shops are affected by a report. 28. MARKETPLACE RISK

EverythingEQ is a marketplace and technology platform. As a seller, you assume the risks associated in dealing with other users (including those who may be acting under false pretenses). You agree that all of these risks are borne by you, and not EverythingEQ. For your safety, we encourage you to communicate with potential buyers and customers using our direct messaging feature.

EverythingEQ reserves the right to delay the completion of any transaction for a reasonable period of time for purposes of fraud detection and to otherwise protect EverythingEQ and its users from illegal or wrongful activities or other violations of our Policies and Terms.
